1. Acceptance of terms
By accessing or using AfricanCrowd ("the platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the platform. AfricanCrowd is operated by AfricanCrowd (Pty) Ltd.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts in your jurisdiction to use AfricanCrowd. By creating an account, you confirm that you meet these requirements.
3. Founder responsibilities
As a founder listing a project on AfricanCrowd, you agree to:
- Provide accurate, complete, and truthful information about your business
- Disclose material risks, liabilities, and uncertainties to potential investors
- Complete the campaign readiness programme before launching a funding round
- Use funds raised only for the purposes described in your campaign
- Keep investors informed of material developments affecting their investment
- Comply with all applicable laws, including those relating to fundraising and securities
AfricanCrowd reviews campaigns before they go live but does not verify every claim made by founders. Approval to list does not constitute endorsement of the business or guarantee of returns.
4. Investor responsibilities
As an investor using AfricanCrowd, you acknowledge that:
- Investing in early-stage businesses carries significant risk, including the risk of total loss
- Past performance does not guarantee future results
- You are responsible for conducting your own due diligence before committing capital
- Investment commitments made through the platform are binding once the cooling-off period has expired
- You have a 48-hour cooling-off period after payment during which you may withdraw your commitment
5. Platform role
AfricanCrowd provides infrastructure to connect founders and investors. We are not a financial adviser, broker, or investment manager. Nothing on the platform constitutes investment advice. You should seek independent professional advice before making any investment decision.
AfricanCrowd does not guarantee that any funding round will be successful, that any business will achieve its goals, or that investors will receive a return on their capital.
6. Fees
AfricanCrowd may charge platform fees on successfully closed funding rounds. Fee details are disclosed during the campaign setup process and are subject to change. We will not apply new or increased fees to funding rounds already in progress without prior notice.
7. Acceptable use
You agree not to:
- Post false, misleading, or fraudulent information
- Use the platform for money laundering or other illegal activities
- Attempt to circumvent our review or verification processes
- Harass, threaten, or harm other users of the platform
- Use automated tools to scrape or harvest data from the platform
We reserve the right to suspend or terminate any account that violates these terms.
8. Limitation of liability
To the fullest extent permitted by applicable law, AfricanCrowd shall not be liable for any indirect, incidental, special, or consequential losses arising from your use of the platform, including losses resulting from investment decisions made through the platform. Our total liability to you shall not exceed the fees you have paid to us in the preceding 12 months.
9. Changes to these terms
We may update these Terms of Service from time to time. When we do, we will update the "Last updated" date at the top of this page and notify registered users by email where changes are material. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
